Section 01Your Role
Your job is to introduce qualified prospects to Project Gateway using your authorized referral code, tag, or link.
You are an independent Affiliate. You are not an employee, legal partner, reseller, franchisee, or agent who can bind Project Gateway.
Unless we specifically authorize you in writing, you may not:
- set or negotiate our prices;
- sign agreements or collect payments for us;
- promise results, features, integrations, compliance status, or technical capabilities;
- perform or present the Patient Bridge Audit; or
- make commitments on our behalf.
If you do not know the answer to a prospect's question, ask Project Gateway instead of guessing.
Section 02Affiliate and Affiliate Plus
Your monthly rate depends on the number of qualifying active paying clients credited to you for that month.
Gross per qualifying client per month.
Gross per qualifying client per month, across your entire qualifying portfolio.
Affiliate Plus is recalculated each month. If your qualifying count falls below 11, the ₱7,500 rate applies. If it later returns to 11 or more, the ₱10,000 rate resumes.
Section 03Valid Referrals
A client qualifies only if Project Gateway properly records the client under your valid authorized referral code, tag, link, or another referral identifier approved in writing.
No valid approved referral identifier means no Affiliate commission.
A prospect's statement that you referred them is only a cross-check. It does not replace the referral process. A code may not be added after conversion merely to create a commission claim.
A lead does not qualify if, before your referral was recorded, Project Gateway's records show that the lead:
- was already a Project Gateway prospect or client;
- was already in active discussion with Project Gateway; or
- was already validly attributed to another Affiliate.
A former or inactive lead qualifies only if Project Gateway approves the new attribution in writing before conversion.
Project Gateway may investigate unclear or competing claims. Timestamped referral and client records control unless we confirm a clear recording error. Our good-faith written decision governs the program's commission records, subject to rights that cannot lawfully be excluded.
Section 04When a Client Earns Commission
A client counts for a monthly commission only if:
- the client was validly attributed to you;
- the client remains active; and
- the client has paid the applicable monthly subscription for that service period.
No commission is earned merely for a lead, introduction, Audit, offer, inactive client, or unpaid client.
Section 05What the Commission Covers
Affiliate commission applies only to qualifying monthly subscription payments that Project Gateway ultimately keeps.
It does not apply to:
- setup fees, whether collected or waived;
- website, development, or advertising charges;
- implementation, third-party, or reimbursable charges;
- taxes; or
- other one-time or separate products or services unless Project Gateway agrees otherwise in writing.
Section 06Taxes and Required Information
The ₱7,500 and ₱10,000 amounts are gross commissions. Project Gateway may deduct withholding tax and any other amount required by law before payment.
Before activation and payment, you must provide the business, tax, and payout information we reasonably need, including:
- your legal or registered business name and address;
- your Tax Identification Number (TIN);
- applicable registration or business details;
- approved bank or payout information; and
- other documents reasonably required for tax, accounting, or lawful payment.
These details are required for activation and continued participation. We may withhold activation or payment, or suspend or end your Affiliate status, until the requirements are complete.
Section 07Monthly Computation and Payment
Project Gateway computes commissions at the end of each calendar month using its records of qualifying active paying clients.
The amount payable to you will be calculated and prepared on or before the 10th day of the next month, subject to:
- confirmation of client payment and active status;
- verification of referral attribution;
- required tax deductions;
- complete payout and tax information; and
- valid adjustments under these Terms.
Actual release may also depend on normal bank or payment-channel processing.
Section 08Refunds, Chargebacks, and Corrections
We may temporarily hold the related commission while a refund request is being reviewed.
If we issue a refund, credit, or reversal, or suffer a chargeback on a payment for which commission was paid or credited:
- the corresponding commission will be reversed;
- a partial refund reverses only the corresponding part of the commission;
- we may deduct the reversed amount from commission or any other amount payable to you;
- any remaining balance due to you will still be paid;
- any shortfall may be carried forward against future commissions; and
- we may require repayment of any balance that remains.
A refund of a setup fee or another non-commissionable charge creates no deduction unless commission was actually paid on it. We may also correct prior overpayments and clear recording errors.
Section 09Invalid Referrals
No commission is due on a fraudulent, fabricated, stolen, duplicate, manipulated, self-dealing, improperly attributed, or otherwise invalid referral.
Project Gateway may deny, stop, reverse, set off, or recover the related commission, even if the problem is discovered later.
Misconduct unrelated to a legitimate referral does not, by itself, invalidate that referral.
Section 10Audit and Referral Rules
You may invite prospects to the Patient Bridge Audit, but you may not:
- perform or present the Audit yourself;
- change its price or referral benefit;
- sell or exchange any Audit privilege;
- distribute your code merely to create free or discounted Audits;
- guarantee any result, revenue, appointment, or sale; or
- misrepresent what Project Gateway will provide.
Project Gateway handles the Audit, recommendation, offer, pricing, closing, onboarding, and implementation.
Section 11Conduct Rules
You must not:
- make false or misleading statements or unauthorized technical, legal, or compliance claims;
- guarantee income, revenue, appointments, conversions, or results;
- collect money for Project Gateway without written authority;
- create fake or duplicate referrals or manipulate attribution;
- use another Affiliate's referral identity or interfere with a valid referral;
- use spam or unlawful marketing;
- misuse confidential or personal information;
- misuse Project Gateway branding, materials, or intellectual property; or
- create material legal, financial, security, operational, or reputational risk for Project Gateway.
We may use coaching, retraining, warnings, temporary restrictions, or corrective action for a minor or fixable issue. A serious violation may result in immediate suspension or termination of Affiliate status.
Section 12Confidentiality, Data, and Materials
You must protect non-public prospect, client, Affiliate, and Project Gateway information, including credentials, internal documents, training materials, and operational information.
Personal information may be used only for authorized Affiliate activity and must be handled under applicable Philippine law.
Project Gateway, Patient Bridge, and their names, branding, systems, software, training content, processes, and materials remain the property of their respective owners. You may use only materials approved for Affiliate activity.
Your confidentiality, data-protection, and intellectual-property duties continue after suspension, resignation, termination, and the end of these Terms.
Section 13Independent Relationship and No Guaranteed Income
Nothing in these Terms creates employment, a legal partnership, franchise, joint venture, or agency that lets you bind Project Gateway.
You are responsible for your own expenses, equipment, transportation, registrations, taxes, and legal obligations unless we agree otherwise in writing.
Project Gateway does not guarantee referrals, Affiliate Plus status, any amount of income, any minimum number of clients, or commissions for any guaranteed period.
Section 14Term and Ending Affiliate Status
Your participation starts when Project Gateway activates your account. It continues for an initial 12-month term unless ended earlier under these Terms. After that, it continues month-to-month.
You may leave by giving written notice.
During the initial term, Project Gateway may terminate Affiliate status for cause. After the initial term, we may also terminate without cause by giving at least 30 days' written notice.
We may immediately suspend or terminate for serious misconduct, including fraud, fake referrals, attribution manipulation, material misrepresentation, misuse of confidential or personal information, unauthorized collection of client payments, unlawful conduct, serious brand misuse, or another material breach.
When Affiliate status ends, you must stop presenting yourself as an active Project Gateway Affiliate. You may not make new referrals, promote Project Gateway using your former status, or use Affiliate-only systems, training, communities, or resources unless we allow it.
Section 15Continuing Commission After Affiliate Status Ends
Ending Affiliate status does not automatically cancel commission on clients validly attributed to you before the effective end date.
For those existing clients, commission continues while each client remains active and pays the qualifying monthly subscription. It remains subject to referral validity, refunds, chargebacks, credits, set-off, taxes, and the other commission rules in these Terms.
The same monthly thresholds apply, based only on qualifying existing referred clients:
- 1 to 10 clients: ₱7,500 gross per client.
- 11 or more clients: ₱10,000 gross per client across that qualifying portfolio.
The rate moves down or up as the qualifying existing-client count changes. No client referred after Affiliate status ends can earn commission.
Section 16Changes to the Program
Project Gateway may update procedures, training, approved materials, referral systems, and prospective program terms. Material compensation changes should be communicated before they take effect.
An update does not create commission that was never earned or erase commission already earned, except for a valid adjustment allowed by these Terms.
Project Gateway may discontinue or materially restructure the Affiliate Program as a whole by giving at least 30 days' written notice. The notice must expressly state any effect on continuing commissions from existing valid referrals.
These Terms and written policies expressly incorporated into them control over inconsistent older guides, presentations, messages, or training. Oral statements do not change these Terms. Any special authority or exception must be approved in an authorized written record.
Section 17Governing Law
Philippine law governs these Terms. If a dispute arises, we should first try in good faith to resolve it directly.
If court action is necessary, exclusive venue will be in the proper courts of Quezon City, Philippines, subject to applicable law.
